Tipify Terms of Service
Effective Date: April 9, 2026
IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE TIPIFY PLATFORM. BY CREATING AN ACCOUNT OR USING THE PLATFORM YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 21). IMPORTANT EXCEPTIONS APPLY FOR EU, UK, AUSTRALIAN, CANADIAN, JAPANESE, AND BRAZILIAN USERS (SECTION 22).
THIRD-PARTY SERVICES NOTICE: This Platform integrates with Spotify (artist verification), Stripe (payment processing), and Plaid (identity verification). Use of the Platform constitutes acceptance of the applicable terms of each service, as described in Sections 11, 12, and 13 below. Spotify is an express third-party beneficiary of these Terms and the Tipify Privacy Policy, as further described in Section 11.
1. DEFINITIONS
The following definitions apply throughout these Terms of Service ("Terms"). As used throughout these Terms, the words "including" and "include" mean "including, but not limited to," unless otherwise specified.
"Applicable Law" means all laws, regulations, rules, and binding guidance applicable in the User's jurisdiction.
"Artist" means a verified musician approved by Tipify to receive Tips through the Platform, subject to the eligibility and verification requirements in Sections 5 and 6.
"Artist Content" means all content submitted by an Artist to the Platform, including profile information, biographical data, photos, music samples, videos, and promotional materials.
"Chargeback" means a reversal of a Tip transaction initiated by a Supporter's payment provider, resulting in the return of funds to the Supporter and forfeiture of the corresponding payout to the Artist.
"Company," "Tipify," "we," "us," or "our" means TipJar Music, Inc., a Delaware corporation doing business as Tipify.
"Compliance Hold" means a temporary suspension of disbursements, account access, or both, imposed by Tipify pending resolution of a compliance, fraud, sanctions, or legal matter.
"KYC" means Know Your Customer identity verification and screening conducted pursuant to applicable financial regulations.
"Personal Data" means information relating to an identified or identifiable natural person, as defined under applicable data protection law including GDPR, UK GDPR, PIPEDA, Australia's Privacy Act, Brazil's LGPD, and Japan's APPI.
"Plaid" means Plaid Inc., the third-party identity verification and financial data services provider used for KYC and sanctions screening on the Platform.
"Platform" means Tipify's website (www.tipify.music), iOS and Android mobile applications, APIs, and all related services and functionality.
"Prohibited Person" means any individual or entity (a) listed on OFAC's SDN list, the UN Consolidated Sanctions List, the EU Consolidated List, or HM Treasury's financial sanctions register; (b) located or ordinarily resident in a comprehensively sanctioned jurisdiction; or (c) otherwise prohibited from transacting under Applicable Law.
"Spotify" means Spotify AB and its affiliates, whose Web API and platform data are used for Artist verification on the Platform. Spotify is a third-party beneficiary of these Terms as specified in Section 11.
"Stripe" means Stripe, Inc. and its affiliates, the payment processor for all financial transactions on the Platform.
"Stripe Connected Account" means the Stripe Express account established by an Artist through which payouts are received.
"Supported Country" means a jurisdiction where Tipify has authorized Platform access, currently: United States, United Kingdom, European Union member states, Australia, Canada, Japan, and Brazil. This list may be updated with notice.
"Supporter" means a registered user who sends voluntary Tips to Artists through the Platform.
"Terms" or "Terms of Service" means this document, together with the Privacy Policy and Community Guidelines, which together constitute the entire agreement between you and Tipify.
"Tip" means a voluntary, non-commercial monetary gift made by a Supporter to an Artist through the Platform. Tips are not purchases, investments, loans, or charitable donations.
"User," "you," or "your" means any individual accessing or using the Platform, including both Artists and Supporters.
2. ACCEPTANCE OF TERMS
By creating an account, clicking "I Agree," or accessing or using the Platform in any way, you represent that you have read, understood, and agree to be bound by these Terms, our Privacy Policy), and our Community Guidelines. If you do not agree, do not access or use the Platform.
These Terms constitute a legally binding agreement between you and TipJar Music, Inc. If you are using the Platform on behalf of an entity, you represent and warrant that: (a) you have full authority to bind that entity to these Terms; (b) the entity meets all eligibility requirements herein; and (c) your acceptance constitutes the entity's acceptance. In such case, "you" and "your" refer to both you individually and that entity jointly and severally.
Tipify may amend these Terms at any time in accordance with Section 23. Your continued use of the Platform following the effective date of any amendment constitutes acceptance of the revised Terms.
3. ELIGIBILITY AND GEOGRAPHIC SCOPE
3.1 Age and Legal Capacity
You must be at least 18 years of age (or the applicable age of majority in your jurisdiction, if higher) and legally capable of entering into binding contracts to use the Platform.
3.2 Supported Countries
The Platform is available only to users residing in a Supported Country. Availability of specific features, payment methods, currencies, and Artist verification capabilities may vary by country. Tipify may expand or restrict the list of Supported Countries with reasonable advance notice.
3.3 Sanctions and Restricted Persons
You represent, warrant, and covenant on a continuing basis that you are not, and will not become, a Prohibited Person. You may not use the Platform if you are: (a) located in, ordinarily resident in, or a national or agent of a country subject to comprehensive sanctions administered by OFAC, OFSI, the EU, the UN, or any other applicable sanctions authority; (b) listed on any government register of prohibited or restricted parties; or (c) otherwise prohibited from using the Platform by Applicable Law.
3.4 Artist Eligibility
In addition to general eligibility requirements, Artists must be professional or emerging musicians with a verifiable presence in the music industry and must successfully complete Tipify's multi-stage verification process described in Section 6.
3.5 VPN and Circumvention Prohibition
You may not use a VPN, proxy, Tor, or any other technology to misrepresent your geographic location or circumvent geographic restrictions. Violation may result in immediate account suspension or termination.
3.6 App Store Requirements
If you access or download the Tipify application from the Apple App Store or Google Play Store, you agree to comply with the applicable end user license agreement of that platform, including Apple's Licensed Application End User License Agreement available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. In the event of any conflict between these Terms and the applicable app store terms, these Terms govern to the maximum extent permitted.
3.7 Representations on Registration
By creating an account, you represent and warrant that: (a) all information provided during registration is accurate, complete, and not misleading; (b) you are not acting as a nominee, agent, or intermediary for any undisclosed third party; (c) you are not a Prohibited Person; and (d) your use of the Platform will comply with all Applicable Laws. These representations are deemed repeated on each login and each transaction.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To access the Platform's features, you must create an account by providing accurate, current, and complete information as prompted during registration. Each user may hold only one active account. You agree to maintain and promptly update your account information to keep it accurate.
4.2 Account Security
You are solely responsible for the confidentiality of your account credentials and all activity under your account. You agree to: (a) use a strong, unique password; (b) enable available two-factor authentication; (c) not share your credentials with any third party; and (d) notify Tipify immediately at support@tipify.music of any suspected unauthorized access; and (e) immediately cease use of the Platform and notify Tipify if you become aware of any facts that would make any of your registration representations false or inaccurate.
4.3 Identity Verification (KYC)
Tipify conducts KYC verification in compliance with applicable financial regulations:
Artists: Full KYC at account creation — before receiving any Tips — including government-issued ID, address, date of birth, and applicable tax identification information, processed through Plaid.
Supporters: KYC required upon reaching a cumulative lifetime Tip threshold of USD 1,000 (or local currency equivalent) before further Tips may be sent.
All Users: Real-time and periodic sanctions screening against OFAC, UN, EU, HMT, and other applicable watchlists via Plaid.
Failure to complete required verification within 30 days of reaching an applicable threshold results in account suspension and potential termination. Section 13 describes Plaid's role in data collection for these purposes.
4.4 Account Activity and Responsibility
You are solely responsible for all activity conducted through your account, whether or not authorized by you. Tipify may treat all activity originating from your account credentials as authorized. Tipify is not liable for any loss or damage arising from your failure to maintain account security or your failure to notify Tipify of unauthorized access in a timely manner.
4.5 No Account Transfers
Your account is personal and non-transferable. You may not sell, lease, sublicense, or otherwise transfer access to your account or your Artist profile to any third party without Tipify's prior written consent. Any purported transfer in violation of this Section is void and may result in immediate termination of both accounts.
5. NATURE OF TIPS AND PLATFORM ROLE
THE FOLLOWING DISCLOSURES ARE MATERIAL TO YOUR USE OF THE PLATFORM AND MUST BE READ CAREFULLY:
TIPS ARE VOLUNTARY GIFTS AND DO NOT CONSTITUTE INVESTMENTS, LOANS, PURCHASES, SECURITIES, OR CHARITABLE CONTRIBUTIONS.
SUPPORTERS RECEIVE NO EQUITY, OWNERSHIP INTEREST, FINANCIAL RETURNS, MERCHANDISE, EXCLUSIVE CONTENT, FUTURE SERVICES, OR ANY GUARANTEE OF GOODS, SERVICES, OR PERFORMANCES IN EXCHANGE FOR A TIP.
TIPS CREATE NO CONTRACTUAL OBLIGATION, EITHER EXPRESS OR IMPLIED, FOR ARTISTS TO PROVIDE ANY GOODS, SERVICES, CONTENT, PERFORMANCES, OR BENEFITS TO SUPPORTERS.
TIPIFY IS NOT AN INVESTMENT PLATFORM, SECURITIES BROKER, MONEY TRANSMITTER, FINANCIAL INSTITUTION, OR REGULATED FINANCIAL SERVICES PROVIDER. TIPIFY ACTS SOLELY AS A TECHNOLOGY INTERMEDIARY FACILITATING VOLUNTARY TRANSACTIONS BETWEEN USERS.
NO FIDUCIARY, AGENCY, PARTNERSHIP, JOINT VENTURE, OR EMPLOYMENT RELATIONSHIP EXISTS BETWEEN TIPIFY AND ANY USER.
TIPIFY DOES NOT GUARANTEE THE IDENTITY, LEGITIMACY, CONDUCT, OR CONTINUED AVAILABILITY OF ANY ARTIST ON THE PLATFORM. VERIFICATION IS A RISK MITIGATION MEASURE AND IS NOT A GUARANTEE OR ENDORSEMENT.
6. ARTIST VERIFICATION AND REQUIREMENTS
6.1 Multi-Stage Verification Process
Artists must complete Tipify's verification process before receiving any Tips. Verification includes:
Music industry legitimacy validation through the Chartmetric database (500,000+ verified artist profiles) and streaming platform confirmation;
Spotify profile verification: Tipify uses the Spotify Web API to confirm an active, verified artist presence on the Spotify platform. This use is subject to the Spotify Developer Terms and the restrictions described in Section 11;
Social media authentication demonstrating an authentic, professional musical presence;
Full government-issued identity verification and sanctions screening via Plaid (see Section 13 for Plaid data collection details); and
Provision of a valid bank account or payment account for payouts via Stripe Connected Account.
6.2 Verification Timeline and Decisions
Verification normally completes within 2–7 business days. Tipify may request additional documentation. Tipify may deny or revoke Artist status at any time for: verification failure; fraudulent representations; sanctions matches; violations of these Terms; or compliance risk. Tipify's verification decisions are final and non-appealable except where required by Applicable Law. Denial or revocation of Artist status does not entitle the Artist to any compensation, damages, or reimbursement of any kind.
6.3 Artist Obligations
Artists agree to: (a) maintain accurate, current profile information; (b) promptly respond to compliance requests; (c) use Tips solely for lawful purposes; (d) not artificially inflate Tips or misrepresent their identity; (e) comply with all Applicable Laws governing receipt and reporting of income; and (f) notify Tipify within 5 business days of any material change to identity, tax status, or banking information.
6.4 Artist Content License
By submitting Artist Content, Artists grant Tipify a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, distribute, display, and promote the Artist Content solely for purposes of: (a) operating and providing the Platform; (b) marketing Tipify's services and the Artist's presence on the Platform; and (c) complying with legal obligations. Artists retain all ownership rights in Artist Content. Artists represent and warrant that they own or have all necessary rights, licenses, and consents to grant the license set forth herein, and that Artist Content does not infringe any third party's intellectual property, privacy, or other legal rights. The license terminates on account cancellation subject to lawfully distributed content, residual compliance copies, and any pre-existing third-party licensing commitments.
6.5 Ongoing Compliance Monitoring
Artist accounts are subject to continuous monitoring for anomalous or suspicious activity. Tipify may require re-verification or enhanced due diligence at any time. Failure to cooperate with compliance requests within specified timeframes may result in account suspension.
7. SUPPORTER ACCOUNTS
Supporters must maintain a valid account with accurate contact and payment information. Supporters must complete KYC upon reaching the applicable threshold (Section 4.3). By making a Tip, Supporters acknowledge that Tips are voluntary gifts with no expectation of any return, reward, content, or service from the Artist or Tipify. Supporters who desire goods or services from an Artist must transact with the Artist through separate commercial channels.
7.1 Supporter Obligations
Supporters agree to: (a) provide accurate, current payment and account information; (b) use Tipify only for genuine, good-faith support of Artists; (c) not use fraudulent or unauthorized payment methods; (d) not structure transactions to evade AML thresholds or KYC requirements; (e) not create multiple accounts to circumvent monitoring or verification requirements, and (f) not use the Platform to make Tips on behalf of any third party, including as a nominee or conduit for funds originating from another person or entity.
7.2 Supporter Acknowledgment of Risk
Supporters acknowledge that: (a) Tips are irrevocable once processed except as provided in Section 9.5; (b) Artists may cease activity on the Platform at any time without notice or obligation to Supporters; (c) Tipify does not guarantee that any Artist will remain active, verified, or reachable following a Tip; and (d) Tipify has no obligation to facilitate any communication between Supporters and Artists.
8. ACCEPTABLE USE AND PROHIBITED CONDUCT
8.1 Financial Crimes and Compliance
The following conduct is strictly prohibited and may result in immediate account termination, reporting to authorities, and/or legal action:
Money laundering, terrorist financing, sanctions evasion, or any violation of applicable AML, CTF, or financial crime laws;
Structuring transactions to avoid KYC thresholds, reporting requirements, or enhanced due diligence triggers;
Using the Platform to receive or distribute funds on behalf of third parties without Tipify's express written consent;
Providing false or misleading information to Tipify, Stripe, Plaid, or any Platform service provider;
Impersonating any Artist or other individual to fraudulently receive Tips;
Using the Platform to conduct transactions that have no apparent economic purpose other than to test payment systems, probe transaction limits, or establish transaction history for illicit purposes.
8.2 Platform Integrity
Artificially inflating Tip totals, manipulating tipping patterns, or using bots or automated systems to interact with the Platform;
Attempting unauthorized access to any Platform systems or other user accounts;
Uploading malicious code or content designed to harm the Platform or other users;
Creating multiple accounts to evade restrictions or monitoring;
Scraping, harvesting, or systematically extracting any data from the Platform, including Artist profile information, without Tipify's prior written consent.
8.3 Content Violations
Uploading, transmitting, or promoting unlawful, defamatory, obscene, violent, hateful, or discriminatory content;
Infringing any third party's intellectual property, privacy, or other legal rights;
Using the Platform for political fundraising, personal loans, non-music commercial campaigns, or purposes unrelated to legitimate music activities.
8.4 Consequences of Prohibited Conduct
Without limiting any other remedy available to Tipify, violations of this Section 8 may result in: (a) immediate account suspension or termination without notice; (b) forfeiture of any pending disbursements held at the time of suspension; (c) reporting to applicable law enforcement or regulatory authorities; (d) civil litigation; and (e) cooperation with third-party investigations including those initiated by Stripe, Plaid, or Spotify. Tipify expressly reserves all rights and remedies at law and in equity.
8.5 Reporting Misconduct
If you encounter a User or content on the Platform that you believe violates these Terms or is otherwise inappropriate, harmful, or fraudulent, you may report it by contacting compliance@tipify.music. Tipify will review all reports in good faith but is not obligated to take any specific action as a result. Submission of a report does not create any obligation on Tipify's part beyond that required by Applicable Law. You agree that any report you make will be accurate and made in good faith.
9. PAYMENT PROCESSING, FEES, AND DISBURSEMENTS
9.1 Stripe as Payment Processor
All financial transactions on the Platform are processed by Stripe, Inc. via Stripe Connect. Tipify does not directly hold, receive, or transfer user funds. By using the Platform:
Supporters agree to Stripe's Services Agreement (https://stripe.com/legal) as applicable to their payment activities;
Artists agree to the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account), which governs their Stripe Express account and the receipt of payouts; and
Both Artists and Supporters consent to Stripe's collection and processing of financial and identity information as necessary to facilitate transactions and comply with applicable law.
Artists acknowledge that: (a) Tipify will facilitate acceptance of the Stripe Connected Account Agreement during onboarding; (b) Stripe may update its terms and Artists may be required to re-accept; (c) if a Stripe Connected Account is transferred or ownership changes, the new account holder must re-accept the Stripe Connected Account Agreement; and (d) Tipify will provide Artists with required acquirer disclosure information as mandated by Stripe's Financial Partner requirements.
9.2 Currencies and Payment Methods
Tips may be made in the local currency of each Supported Country: USD (U.S.), GBP (UK), EUR (EU), AUD (Australia), CAD (Canada), JPY (Japan), BRL (Brazil). Currency conversion is handled by Stripe and may incur fees. Supported payment methods include credit cards, debit cards, and other methods available through Stripe. Tipify and Stripe may modify available currencies and payment methods.
9.3 Fees
The following fees apply to each Tip transaction:
Tipify Platform Fee: 5% of each Tip, deducted from the Artist's payout prior to disbursement.
Stripe Payment Processing Fee: Typically 2.9% + USD 0.30 (or local currency equivalent) per transaction; international card surcharges may apply. This fee is collected from Supporters at the time of tipping.
Stripe Express Account Monthly Fee: USD 2.00 (or local equivalent) in any month a payout is made to an Artist.
Tipify will provide 30 days' notice of changes to its fee structure. Stripe may independently update its fees; Artists and Supporters should review Stripe's current fee schedule at https://stripe.com/pricing.
9.4 Disbursements to Artists
Tips net of Tipify's platform fee are disbursed to Artists via their Stripe Connected Account, typically within 2–7 business days (domestic) or longer for international transfers. Payouts may be held for up to 90 days for: (a) active compliance or fraud investigations; (b) unresolved Chargebacks or disputes; (c) incomplete KYC or verification; or (d) regulatory requirements. Tipify will notify Artists of holds and expected resolution timelines where legally permissible, provided that Tipify may be prohibited by law or regulatory directive from disclosing the existence or basis of certain holds, including those related to active law enforcement investigations or sanctions matters.
9.5 Refunds
Tips are generally non-refundable. Refunds may be issued for: (a) confirmed unauthorized or fraudulent transactions; (b) verified technical errors causing duplicate or erroneous charges; (c) Chargebacks resolved by the Supporter's payment provider; or (d) as required by Applicable Law including EU, UK, and Australian consumer protection legislation. Supporters believing they have been fraudulently charged should contact support@tipify.music and their payment provider promptly. For the avoidance of doubt, the non-refundable nature of Tips reflects their character as voluntary gifts and is not a waiver of any statutory consumer rights preserved under Section 22.
9.6 Chargebacks and Disputes
Artists are responsible for Chargebacks and payment disputes associated with Tips received. If a Tip is reversed, Tipify's 5% platform fee is also forfeited. Tipify may, in its sole discretion, assist Artists in preparing Chargeback response documentation but assumes no obligation to do so and no liability for outcomes. Artists agree to cooperate fully with Tipify's Chargeback response process and to provide all requested documentation within 5 business days of request. Failure to cooperate may result in account suspension. Repeated Chargebacks may result in account suspension.
9.7 Stripe Data Disclosure
Tipify uses Stripe for payment processing and related business services. Stripe may collect Personal Data including via cookies and similar technologies. Data collected by Stripe may include transactional data and identifying information about devices connecting to its services. Stripe uses this information to provide payment services, detect fraud, and for related analytics. You can learn more and review Stripe's Privacy Policy at https://stripe.com/privacy.
10. TAXES
10.1 Artist Tax Obligations
Artists are solely responsible for determining, reporting, and paying all taxes arising from Tips received, including income tax, self-employment tax, VAT, GST, consumption tax, or equivalent in their jurisdiction. Tipify does not withhold taxes on Tips except as required by Applicable Law.
U.S. Artists: Stripe issues IRS Form 1099-K for Artists earning USD 600 or more in a calendar year. Artists must comply with all IRS and state tax reporting requirements.
UK Artists: Tips are self-employment income reportable to HMRC. VAT registration may be required based on earnings levels.
EU Artists: Local income tax and VAT obligations apply per member state law.
Australian Artists: Tips are assessable income under Australian tax law. GST obligations may apply.
Canadian Artists: Tips are income under the Income Tax Act. GST/HST obligations may apply.
Japanese Artists: Tips are reportable under Japan's Income Tax Act. Consumption tax obligations may apply.
Brazilian Artists: Tips must be reported to Receita Federal in accordance with applicable Brazilian tax law.
Artists are solely responsible for obtaining independent tax advice in their jurisdiction prior to receiving Tips. Tipify's provision of tax-related information in these Terms is for general informational purposes only and does not constitute tax advice. Tipify assumes no liability for an Artist's failure to comply with applicable tax obligations.
10.2 Supporter Tax Treatment
Tips are voluntary gifts and are not tax-deductible charitable contributions. Supporters should consult their own tax advisors for guidance on the tax treatment of Tips in their jurisdiction.
10.3 Tax Identification
Tipify and Stripe may require tax identification information (U.S. TIN, UK NI number, Australian TFN, or equivalent) for verification and reporting. Failure to provide required information may result in account suspension or mandatory withholding. Tipify reserves the right to withhold disbursements pending receipt of required tax identification information and to implement backup withholding as required by applicable tax law.
11. SPOTIFY INTEGRATION AND REQUIREMENTS
11.1 Purpose of Spotify Integration
Tipify uses the Spotify Web API solely to verify Artist legitimacy by confirming an active, verified Spotify artist profile as part of the multi-stage Artist verification process described in Section 6. Tipify does not use Spotify data for any other purpose and does not retain Spotify data beyond what is necessary for verification.
11.2 Spotify as Third-Party Beneficiary
IMPORTANT: Pursuant to Spotify's Developer Terms, Spotify AB is an express third-party beneficiary of these Terms of Service AND of Tipify's Privacy Policy. Spotify is entitled to directly enforce these Terms against you to protect its rights. By agreeing to these Terms, you acknowledge and consent to Spotify's status as a third-party beneficiary.
11.3 Restrictions Regarding Spotify
Tipify’s use of the Spotify Web API is governed by the Spotify Developer Terms as between Tipify and Spotify. Because Spotify is a third-party beneficiary of these Terms, there are a small number of restrictions that Spotify requires Tipify to flow down to its users directly. These are limited to conduct that you as a user could realistically take. You agree that you will not:
Artificially increase, or claim to artificially increase, play counts, follow counts, or otherwise manipulate the Spotify Service — including by using bots, scripts, automated processes, financial compensation, or any other means. This applies whether or not the manipulation is connected to your Tipify activity;
Use Tipify, or any Artist profile or content on the Platform, to suggest or imply any endorsement, sponsorship, co-branding, or partnership with Spotify without Spotify’s express prior written consent;
Make any warranty, guarantee, or representation on behalf of Spotify to any other person or entity; or
Use any Spotify data accessed through the Platform — including Artist follower counts, stream counts, or verification status — for any purpose other than viewing your own Artist profile as presented on Tipify.
All other obligations relating to Spotify’s Developer Terms — including restrictions on reverse engineering, data usage, and AI/ML training — are obligations of Tipify as the API licensee and do not impose direct obligations on end users under these Terms.
11.4 Spotify Privacy Disclosure
You acknowledge that Tipify's use of the Spotify Web API for Artist verification is subject to Spotify's privacy practices. Spotify's Privacy Policy is available at https://www.spotify.com/legal/privacy-policy. Your Artist profile data on Spotify is governed by Spotify's terms and privacy policy independently of these Terms.
11.5 No Warranties for Spotify Services
All implied warranties with respect to the Spotify Platform, Spotify Service, and Spotify Content, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed. You agree not to make any warranties or representations on behalf of Spotify. Tipify does not guarantee the continued availability of Spotify integration and may modify or discontinue Spotify-based verification at any time without liability, including if required to do so by Spotify or applicable law.
12. ANTI-MONEY LAUNDERING, SANCTIONS, AND COMPLIANCE
12.1 Regulatory Framework
All Users must comply with applicable AML, CTF, and financial crime laws in their jurisdiction. Relevant frameworks include: U.S. Bank Secrecy Act (BSA); UK Proceeds of Crime Act 2002; EU Anti-Money Laundering Directives; Australia's AML/CTF Act 2006; Canada's Proceeds of Crime (Money Laundering) and Terrorist Financing Act; Japan's Act on Prevention of Transfer of Criminal Proceeds; and Brazil's Law No. 9.613/1998.
12.2 Transaction Monitoring
Tipify continuously monitors all Platform transactions for indicators of suspicious activity, including: unusual Tip velocity or frequency; structuring patterns; anomalous Artist funding patterns; geographic or device risk indicators; and sanctions or watchlist alerts. Monitoring rules are reviewed and calibrated quarterly. Tipify reserves the right to reject, reverse, or hold any transaction that triggers a monitoring alert, in its sole discretion and without prior notice to the User. Tipify assumes no liability for losses arising from transaction holds or reversals made in good faith pursuant to this Section.
12.3 Sanctions Screening
All users are screened in real time and periodically against OFAC, UN, EU, HMT, and other applicable watchlists via Plaid. A confirmed sanctions match results in immediate account suspension, reporting to applicable regulatory authorities (including FinCEN, SOCA/NCA, applicable EU national FIUs, AUSTRAC, FINTRAC, JAFIO, or COAF), and potential asset freezing as required by law.
12.4 User Cooperation
Users agree to: (a) promptly provide documentation or information requested for KYC, enhanced due diligence, or compliance investigations; (b) respond to Tipify's compliance inquiries within specified timeframes; and (c) notify Tipify promptly of any changes in circumstances affecting their compliance status. Tipify may report suspicious activity to applicable authorities without prior notification to the User. Users acknowledge that Tipify is legally prohibited from disclosing to any User that a suspicious activity report (SAR) or equivalent filing has been or may be made with respect to their account or transactions.
13. PLAID IDENTITY VERIFICATION — DATA DISCLOSURE AND CONSENT
PLAID DATA NOTICE: Tipify uses Plaid Inc. to perform identity verification (KYC) and sanctions screening. Before you complete identity verification through Plaid, please read this Section carefully. By proceeding with verification, you provide the express consents described below.
13.1 What Plaid Collects
In connection with identity verification on the Platform, Plaid may collect and process the following categories of data on Tipify's behalf:
Identity information: full legal name, date of birth, government-issued identification document (type, number, expiry, issuing country), and photograph;
Contact information: residential address, phone number, and email address;
Tax identification information: last four digits of Social Security Number (U.S.) or equivalent national tax identifier;
Device and technical data: IP address, device identifiers, and behavioral biometrics used for fraud detection; and
Sanctions and watchlist data: Plaid screens your identity information against OFAC, UN, EU, HMT, and other global sanctions and PEP databases.
13.2 How Plaid Uses This Data
Plaid processes the data described in Section 13.1 for the following purposes on Tipify's behalf:
Verifying your identity and confirming eligibility to use the Platform;
Conducting sanctions, PEP, and adverse media screening as required by applicable financial regulations;
Detecting and preventing fraud, identity theft, and financial crimes;
Complying with Tipify's legal and regulatory obligations under applicable BSA, AML, and KYC laws; and
Retaining records of identity verification and screening results for the minimum periods required by Applicable Law, including BSA, AML, and OFAC retention requirements.
Plaid's independent processing of your data is governed by Plaid's Privacy Policy, available at https://plaid.com/legal/. You may manage your Plaid data through the Plaid Portal at https://my.plaid.com.
13.3 Third-Party Disclosure
Data processed through Plaid may be shared with: (a) Tipify as the platform operator; (b) applicable regulatory authorities and law enforcement as required by Applicable Law; and (c) Plaid's sub-processors engaged to perform verification and screening services. Tipify does not share Plaid-processed identity data with advertising networks, data brokers, or other commercial third parties.
13.4 Your Consent and Right to Revoke
By proceeding with identity verification on the Platform, you expressly consent to: (a) the collection and processing of the categories of data described in Section 13.1; (b) the disclosure of that data to Plaid and to applicable regulatory authorities as described in Section 13.3; and (c) ongoing re-screening as required by Tipify's compliance obligations.
You may contact privacy@tipify.music to request information about your Plaid-processed data or to exercise applicable data rights. Note that Tipify is required by law to retain KYC and sanctions screening records for a minimum of 5 years from account closure (10 years for OFAC-related records), and data deletion requests cannot override these mandatory retention periods.
13.5 Security Obligations
Tipify maintains administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of data processed through Plaid, including modern encryption for stored and transmitted data. In the event of a security breach affecting Plaid-processed data, Tipify will notify Plaid and affected users within 72 hours of becoming aware or such shorter period as required by Applicable Law in the affected jurisdiction, including for EU, UK, Australian, Canadian, and Brazilian users.
14. INTELLECTUAL PROPERTY
14.1 Tipify's Intellectual Property
All Platform content, software, designs, trademarks, logos, trade names, and other materials created by or on behalf of Tipify are the exclusive property of TipJar Music, Inc. or its licensors. Nothing in these Terms grants any right, title, or interest in Tipify's intellectual property beyond the limited license to use the Platform as described herein. You may not copy, reproduce, modify, create derivative works of, publicly display, or commercially exploit any Tipify intellectual property without express prior written consent. Any feedback, suggestions, or ideas you submit to Tipify regarding the Platform ("Feedback") are provided on a non-confidential basis and Tipify may use such Feedback for any purpose without compensation or attribution to you. You hereby assign to Tipify all right, title, and interest in any such Feedback.
14.2 DMCA / Copyright Infringement
Tipify respects intellectual property rights and responds to properly submitted copyright infringement notices under the Digital Millennium Copyright Act (DMCA) and equivalent legislation in applicable jurisdictions. To submit a copyright notice, contact:

Counter-notices may be submitted in accordance with the DMCA. Tipify's DMCA agent is registered with the U.S. Copyright Office. Tipify's repeat infringer policy provides for termination of accounts of users who are subject to three or more valid DMCA takedown notices within any 12-month period.
15. PRIVACY AND DATA PROTECTION
15.1 Privacy Policy
Tipify's collection, use, storage, and processing of Personal Data is governed by our Privacy Policy, incorporated herein by reference. Please review it carefully. Spotify AB, as a third-party beneficiary of these Terms, is also a beneficiary of the Privacy Policy and may enforce its provisions directly against you.
15.2 General Practices
Tipify and its service providers (Stripe, Plaid, Chartmetric, AWS) process Personal Data solely for: account management; payment processing; KYC and sanctions screening; fraud prevention; regulatory compliance; and Platform operations. Tipify does not sell, rent, or trade Personal Data to third parties for marketing or commercial purposes unrelated to Platform operations. This restriction does not apply to disclosures required by law, court order, or regulatory directive, or to transfers in connection with a merger, acquisition, or sale of substantially all assets, subject to notice to affected users.
15.3 EU and UK Users (GDPR / UK GDPR)
EU and UK users have rights under GDPR and UK GDPR including: access; rectification; erasure (subject to legal retention obligations); data portability; restriction of processing; and objection to processing. Lawful bases for Tipify's processing include: contract performance, legal obligations, and legitimate interests. Contact privacy@tipify.music to exercise your rights. You may also lodge a complaint with your national data protection authority. EU users may use the EU ODR platform (https://ec.europa.eu/odr).
15.4 Canadian Users (PIPEDA / Law 25)
Canadian users have rights under PIPEDA and provincial legislation. Quebec residents have additional rights under Law 25. Contact privacy@tipify.music to access, correct, or request deletion of your Personal Data, subject to applicable retention requirements.
15.5 Australian Users (Privacy Act 1988)
Tipify handles Personal Data of Australian users under the Australian Privacy Act 1988 and the Australian Privacy Principles. Contact privacy@tipify.music to access or correct your Personal Data.
15.6 Brazilian Users (LGPD)
Brazilian users have rights under Brazil's Lei Geral de Proteção de Dados (LGPD), including confirmation of processing, access, correction, anonymization or deletion of unnecessary data, and portability. Contact privacy@tipify.music to exercise these rights.
15.7 Japanese Users (APPI)
Tipify processes Personal Data of Japanese users in accordance with Japan's Act on the Protection of Personal Information (APPI). Contact privacy@tipify.music to request disclosure, correction, or deletion.
15.8 Cross-Border Data Transfers
Personal Data may be transferred to and processed in countries outside your jurisdiction, including the United States. Tipify employs appropriate safeguards for such transfers, including Standard Contractual Clauses (SCCs) for EU/UK users and equivalent protections where required by Applicable Law. Where Standard Contractual Clauses or equivalent transfer mechanisms are used, Tipify will make a copy available to affected users upon written request to privacy@tipify.music.
16. ACCOUNT SUSPENSION AND TERMINATION BY TIPIFY
16.1 Grounds
Tipify may suspend or permanently terminate your account, with or without prior notice, for:
Violation of these Terms, the Privacy Policy, or Community Guidelines;
Suspected or confirmed fraud, money laundering, sanctions violations, or other financial crimes;
Failure to complete required KYC or identity verification within required timeframes;
Chargebacks, payment irregularities, or repeated payment disputes;
Prolonged inactivity (no account activity for 24 consecutive months);
Receipt of legal process, court order, or regulatory directive;
Risk to the security, integrity, or operation of the Platform;
Other legal, compliance, or regulatory reasons in Tipify's reasonable discretion;
Material misrepresentation during registration or verification, discovered at any time after account creation; or
Tipify's reasonable determination that continued operation of your account poses legal, regulatory, reputational, or financial risk to Tipify or other users.
16.2 Effect of Termination
Upon account suspension or termination: (a) your right to access the Platform ceases immediately; (b) pending Tips may be held for up to 90 days for compliance review; (c) Tipify will process eligible pending payouts to verified accounts after clearance of holds; and (d) Tipify retains all records required by Applicable Law. Users in jurisdictions with statutory termination rights will be treated consistently with those rights. Tipify's exercise of its suspension or termination rights under this Section shall not constitute a breach of these Terms or give rise to any claim for damages, compensation, or equitable relief, except where prohibited by Applicable Law.
17. USER-INITIATED ACCOUNT CANCELLATION
17.1 Your Right to Cancel
You may cancel your Tipify account at any time, for any reason, without penalty, subject to the conditions of this Section.
17.2 How to Cancel
Account cancellation may be initiated by:
Using the account cancellation feature within Platform Settings (Settings > Privacy > Delete Account); or
Submitting a written request to support@tipify.music with subject line "Account Cancellation Request," including your registered email address and full name.
Tipify will confirm receipt within 5 business days. The cancellation process will complete within 14 days, subject to the conditions below.
17.3 Pre-Cancellation Steps
Before requesting cancellation:
Artists should ensure all pending Tips have been processed and request any outstanding Stripe payouts directly through the Stripe dashboard or by contacting support@tipify.music.
Supporters should ensure no Tips are in process.
17.4 Cancellation Holds
Cancellation may be delayed if: (a) your account is subject to an active compliance, AML, fraud, or sanctions investigation — Tipify will notify you of the hold and expected resolution; (b) there are pending Chargebacks, payment disputes, or court-ordered legal holds; (c) required verification procedures remain incomplete; or (d) Tipify determines, in its reasonable discretion, that cancellation at the requested time would interfere with an ongoing regulatory examination, audit, or law enforcement inquiry affecting your account.
17.5 Effect of Cancellation
Following cancellation: (a) your account and Artist profile will be deactivated and removed from public view within 30 days; (b) Artist Content will be removed from public-facing areas, subject to lawfully distributed content and compliance copies; (c) your login credentials will be deactivated; (d) Tipify retains KYC and transaction records for a minimum of 5 years from account closure and OFAC-related records for 10 years, as required by Applicable Law; (e) any licenses granted by Artist to Tipify under Section 6.4 terminate as of the cancellation effective date, subject to the exceptions stated therein.
Requests for deletion of Personal Data beyond legally mandated retention periods may be submitted to privacy@tipify.music following cancellation.
17.6 Reactivation
Cancelled accounts may be reactivated within 30 days by contacting support@tipify.music. After 30 days, a new account registration and re-verification are required. Reactivation is at Tipify's discretion and may be denied where prohibited by compliance or legal considerations.
18. DISCLAIMERS AND LIMITATION OF LIABILITY
18.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. TIPIFY DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED. TIPIFY MAKES NO REPRESENTATION THAT THE PLATFORM IS APPROPRIATE OR AVAILABLE FOR USE IN ANY PARTICULAR JURISDICTION. USERS ACCESS THE PLATFORM AT THEIR OWN INITIATIVE AND ARE SOLELY RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAWS.
18.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIPIFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, GOODWILL, DATA, OR USE. TIPIFY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: (A) USD 100 (OR LOCAL CURRENCY EQUIVALENT); OR (B) THE TOTAL FEES PAID BY YOU TO TIPIFY IN THE 12 MONTHS PRECEDING THE CLAIM. THE PARTIES ACKNOWLEDGE THAT THE LIABILITY LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. TIPIFY WOULD NOT HAVE ENTERED INTO THESE TERMS WITHOUT THESE LIMITATIONS.
18.3 Statutory Rights Preserved
Nothing in this Section limits any liability that cannot be excluded by Applicable Law. In particular:
EU users retain mandatory consumer protection rights under EU law and relevant member state legislation.
UK users retain rights under the Consumer Rights Act 2015, Consumer Contracts Regulations 2013, and other applicable UK legislation.
Australian users retain non-excludable statutory guarantees under the Australian Consumer Law.
Canadian, Japanese, and Brazilian users retain statutory consumer rights under applicable local law.
18.4 Essential Purpose
The disclaimers and limitations of liability in this Section 18 apply even if any limited remedy fails of its essential purpose, and even if Tipify has been advised of the possibility of such damages.
19. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless TipJar Music, Inc. and its officers, directors, employees, affiliates, agents, licensors, successors and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or relating to: (a) your use of the Platform; (b) your violation of these Terms or Applicable Law; (c) Artist Content you submit; (d) your violation of any third party's rights; (e) fraudulent or unauthorized activity conducted through your account; (f) any tax liability, penalty, or obligation arising from your receipt or payment of Tips; or (g) any claim by a third party that Artist Content infringes their intellectual property, privacy, or other legal rights. Tipify reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with Tipify's defense of such claims and not to settle any such claim without Tipify's prior written consent.
20. DISPUTE RESOLUTION AND ARBITRATION
20.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except as otherwise provided in Section 22 for EU, UK, Australian, Canadian, Japanese, and Brazilian users.
20.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact Tipify at legal@tipify.music with a written description of your dispute. Tipify will respond within 45 days. Both parties agree to attempt good-faith informal resolution before resorting to arbitration or court proceedings. If the parties cannot reach informal resolution within 45 days, either party may proceed to arbitration or other available remedies as provided herein. The informal resolution period may be extended by mutual written agreement.
20.3 Binding Arbitration (U.S. Users)
For U.S. users: any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration may be conducted virtually or in-person in New York, New York, or as otherwise agreed. Tipify will bear AAA administrative fees for claims under USD 10,000 where the claim is not frivolous. The arbitrator's decision is final, binding, and enforceable in any court with jurisdiction. You may elect to bring individual claims in small claims court in lieu of arbitration. Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute by arbitration.
20.4 Class Action Waiver (U.S. Users)
YOU AND TIPIFY AGREE THAT ANY DISPUTES SHALL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE ARBITRATION AGREEMENT SHALL BE NULL AND VOID. To the extent any claim is found not subject to arbitration, such claim shall be resolved exclusively in the courts specified in Section 21, and you waive any right to a jury trial in connection with such claim.
20.5 Arbitration Opt-Out (U.S. Users)
You may opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice (including your name and registered email address) to: TipJar Music, Inc., Attn: Legal Department — Arbitration Opt-Out, 108 W 39th St, Suite 1006 #2013, New York, NY 10018 or legal@tipify.music.
20.6 Other Jurisdictions
For users outside the U.S. (excluding EU/UK/Australia covered by Section 22): disputes shall be submitted to binding arbitration under the rules of an internationally recognized arbitration body appropriate to the user's jurisdiction, or to Delaware courts if arbitration is unenforceable under Applicable Law.
20.7 Limitations Period
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION AROSE, OR IT IS FOREVER BARRED. THIS ONE-YEAR LIMITATION PERIOD APPLIES REGARDLESS OF ANY STATUTE OF LIMITATIONS TO THE CONTRARY, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW. FOR EU, UK, AUSTRALIAN, CANADIAN, JAPANESE, AND BRAZILIAN USERS, APPLICABLE STATUTORY LIMITATION PERIODS UNDER LOCAL LAW GOVERN TO THE EXTENT THEY DIFFER FROM THIS PROVISION.
21. VENUE AND JURISDICTION
Subject to the arbitration provision above and the international user provisions in Section 22, any legal action or proceeding between you and Tipify not subject to arbitration shall be brought exclusively in the federal or state courts located in New York County, New York. You irrevocably submit to the personal jurisdiction of such courts for such purposes. Further, you waive any objection to the laying of venue of any such proceeding in New York County, New York, and waive any claim that such proceeding has been brought in an inconvenient forum.
22. INTERNATIONAL USER PROVISIONS
22.1 European Union Users
If you are a consumer in the EU, the mandatory consumer protection laws of your EU member state apply. Notwithstanding Section 20, you retain the right to bring proceedings before courts in your EU member state of residence. The binding arbitration provision in Section 20 does not apply to you as a consumer in the EU to the extent inconsistent with EU law. You may also use the EU Online Dispute Resolution platform (https://ec.europa.eu/odr).
22.2 United Kingdom Users
If you are a consumer in the UK, your statutory rights under the Consumer Rights Act 2015, the Consumer Contracts Regulations 2013, UK GDPR, and applicable UK legislation are preserved. The binding arbitration provision in Section 20 does not apply to UK consumers to the extent inconsistent with UK law. Unresolved disputes may be brought before courts of England and Wales.
22.3 Australian Users
If you are in Australia, your statutory rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) apply and cannot be excluded by these Terms. Disputes may be brought before courts in your Australian state or territory.
22.4 Canadian Users
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada for Canadian users, with courts of Ontario having non-exclusive jurisdiction. Consumer protection laws of your province or territory apply where mandatory. Quebec residents have additional rights under the Consumer Protection Act (CPA) and Law 25. For greater certainty, nothing in these Terms limits any mandatory rights of Canadian consumers under applicable provincial consumer protection legislation, including Ontario's Consumer Protection Act, 2002.
22.5 Japanese Users
These Terms are governed by Japanese law for Japanese users to the extent required by the Consumer Contract Act (消費者契約法). Disputes may be brought before Japanese courts of competent jurisdiction.
22.6 Brazilian Users
Brazilian users' rights under the Consumer Protection Code (CDC) and LGPD apply and are not limited by these Terms. Disputes may be brought before Brazilian courts of competent jurisdiction.
22.7 Currency and Taxes for International Users
Fees and Tips for international users are charged in applicable local currencies (Section 9.2). Currency conversion is handled by Stripe and may incur fees. VAT, GST, or consumption tax may be applied to Tipify platform fees where required by local law.
22.8 California Users
If you are a California resident, under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210, to resolve a complaint regarding the Platform or to receive further information regarding use of the Platform. California residents also have rights under the California Consumer Privacy Act (CCPA); please refer to Tipify's Privacy Policy for details.
23. MODIFICATIONS TO THESE TERMS
Tipify may modify these Terms at any time. Notice of material changes will be provided via: (a) email to your registered address; (b) in-app notification; and/or (c) prominent posting on the Platform—at least 30 days before the effective date, except where required by law or to address urgent legal or security matters. Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree to amended Terms, you must cancel your account pursuant to Section 17.
24. PLATFORM UPDATES, AVAILABILITY, AND THIRD-PARTY SERVICES
24.1 Platform Updates and Availability
Tipify may modify, update, suspend, or discontinue any aspect of the Platform — including features, supported payment methods or currencies, Artist verification requirements, and third-party service integrations — at its discretion. Tipify will provide reasonable advance notice of material changes that significantly affect your use of the Platform. Tipify is not liable for harm arising from Platform modifications or temporary unavailability.
24.2 Third-Party Links and Services
The Platform may contain links to third-party websites, services, or resources, including Stripe, Plaid, Spotify, and Chartmetric. Such third-party services are subject to their own terms and privacy practices, which Tipify does not control. Tipify is not responsible or liable for the availability, accuracy, content, products, or services offered by any third party. Links to third-party services do not constitute an endorsement or recommendation by Tipify. Any dealings between you and a third party are solely between you and that third party.
25. GENERAL PROVISIONS
25.1 Entire Agreement
These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and TipJar Music, Inc. regarding your use of the Platform and supersede all prior agreements and understandings. This document replaces and supersedes both the Tipify Terms of Service v2.0 and Tipify End User Agreement v2.0.
25.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
25.3 Waiver
Tipify's failure to exercise or enforce any right under these Terms shall not constitute a waiver. Any waiver must be in writing signed by an authorized Tipify representative.
25.4 Assignment
You may not assign your rights or obligations under these Terms without Tipify's prior written consent. Tipify may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to users. Any purported assignment in violation of this Section is null and void. In the event of a permitted assignment by Tipify, Tipify will use reasonable efforts to provide 30 days' advance notice to affected users.
25.5 Force Majeure
Tipify is not liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, pandemic, war, terrorism, natural disasters, government action, or failure of third-party service providers (including Stripe, Plaid, or Spotify).
25.6 Third-Party Beneficiaries
These Terms do not create third-party beneficiary rights except as expressly stated. Stripe is a beneficiary of provisions relating to payment processing solely for purposes of enforcing its own terms. Spotify AB is an express third-party beneficiary of these Terms and the Privacy Policy, as stated in Section 11.2.
25.7 Notices
Tipify may provide notices via email, in-app notification, or Platform posting. Notices to Tipify must be in writing sent to legal@tipify.music or the mailing address below.
25.8 Survival
The following provisions survive termination or expiration of these Terms for any reason: Section 5 (Nature of Tips), Section 8 (Acceptable Use), Section 10 (Taxes), Section 12 (AML and Compliance), Section 13 (Plaid Data), Section 14 (Intellectual Property), Section 15 (Privacy), Section 18 (Disclaimers and Limitation of Liability), Section 19 (Indemnification), Section 20 (Dispute Resolution), and Section 25 (General Provisions).
25.9 Electronic Signatures and Records
You consent to receive all communications, agreements, notices, and disclosures from Tipify electronically. Electronic acceptance of these Terms, including by clicking "I Agree," constitutes a valid and binding signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), and equivalent legislation in applicable jurisdictions.
